These On-Premise Terms of Use ("Agreement") govern the use of the on-premise version of the Nextspace software ("Software") licensed by Nextspace Ltd ("Nextspace") to you ("Customer"). These terms apply only to the on-premise deployment and supersede any conflicting terms in the standard cloud-based Terms of Use.
1. License Grant and Restrictions
1.1 License Grant: Subject to the terms of this Agreement, Nextspace grants Customer a non-exclusive, non-transferable, time-limited license to install and use the Software solely for internal business purposes and within the licensed environment.
1.2 Update Requirement: For term-based licenses, Nextspace may designate certain updates or patches as important for the proper operation and support of the Software. Customers are strongly advised to implement such updates in a timely manner. Failure to do so may limit Nextspace’s ability to provide support or meet service level commitments, and may require the application of additional support charges.
2.Maintenance and Support
2.1 Support Eligibility: Access to maintenance and support services requires that the Customer keeps the Software reasonably up to date by applying important updates, upgrades, or patches provided by Nextspace. Where such updates are not applied, Nextspace’s support obligations may be limited and additional support charges may apply.
2.2 Access for Diagnosis: Customer acknowledges that diagnosis and resolution of issues may require Nextspace to have reasonable access to log files, configurations, and system information. If direct access is not permitted, Customer must provide necessary information and support to assist Nextspace in issue resolution.
2.3 Exclusions: Nextspace is not responsible for supporting issues arising from unauthorized modifications, third-party integrations, or use of the Software in an unsupported environment.
3. Security and Compliance
3.1 Mandatory Updates: Nextspace may require the Customer to apply specific updates or patches to address security vulnerabilities, maintain regulatory compliance, or ensure compatibility with third-party systems. Customer agrees to apply such updates promptly.
3.2 Customer Responsibility: Customer is solely responsible for securing their on-premise environment, including network access, user authentication, backup, and operating system security.
4. Term and Termination
4.1 Term: This Agreement remains in effect for the duration of the license term specified in the applicable order.
4.2 Termination for Breach: Nextspace may terminate this Agreement upon written notice if Customer breaches any provision, including failure to apply mandatory updates.
4.3 Effect of Termination: Upon termination, Customer must cease all use of the Software and destroy all copies in its possession.
5. General
5.1 Governing Law: This Agreement is governed by the laws of New Zealand, without regard to its conflict of law principles.
5.2 Entire Agreement: This Agreement constitutes the entire agreement between the parties concerning the on-premise use of the Software and supersedes all prior or contemporaneous communications.
